1. What makes Camden Partners Different?

Experience, judgment, and synergy.

Our senior partners have worked together at Camden Partners an average of 10 years and have spent years building extensive networks in our target markets. We continuously strive to bring these resources to bear for our portfolio companies. The experience of our senior partners stems from their direct involvement in building successful companies in our target markets and from their combined 75+ years of private equity investing. Richard Berkeley was the head of private placements at Alex. Brown, and David Warnock was co-manager of the T. Rowe Price New Horizons Fund. Don Hughes was Chief Financial Officer of Capstone Pharmacy Services, a NASDAQ-listed small-cap company, and Christopher Kersey was a Managing Director of Cogene Ventures. Retired partner Dick Johnston was the Chairman of West Penn Allegany Health Care Systems, the second largest health care network in West Pennsylvania.

Our experience and judgment is evident in how we work with management teams to structure investments that make sense. Our preferred equity and debt with warrants structures are tailored for each opportunity. When we find an excellent management team, we have the experience to structure a deal that works for all constituencies. Then, we take active board roles, harnessing the resources of the entire firm to serve as value-additive partners and advisors of management teams. 2. How involved in the companies are you?

We make it a priority to be very involved with our portfolio companies. It begins with serving on their board of directors. However, our value goes well beyond serving on boards: we also play a prominent role in acquisitions, financing sourcing, and board member and executive recruitment. We serve as financial experts on audit committees. For example, General Partner Don Hughes lends his experience as a CFO to the CEOs of many of our portfolio companies. We pride ourselves in being a resource to our portfolio companies and their CEOs. In fact, our CEOs are our best references.

3. On which industries do you focus?

Three target markets: education, healthcare, and business services. These tend to be the most stable segments of the economy with significant growth potential and together make up over 25% of the U.S. gross domestic product.

4. What kinds of transactions do we typically invest in?

We provide capital for growth and, often times, for recapitalizations and acquisitions. We focus on negotiated and structured direct investments in rapidly growing companies. We routinely use deal structures that combine debt with warrants with various types of preferred securities.

5. What has your investment history been like?

Camden Partners invests in both private companies as well as micro-cap public companies in the education, healthcare, and business services industries. We use an approach that stresses our involvement, including senior securities and representation on boards of directors.  We work to add value during a two to five year investment horizon.

6. Does Camden have a hedge fund?

Camden Partners is the adviser to a small-cap hedge fund. The sub-adviser, Croft Leominster, Inc., determines what securities shall be purchased, held, or sold by the Camden Fund and what portion of the assets shall be held uninvested in cash, subject to the provisions of the Camden Funds Private Placement Memorandum and Limited Partnership Agreement.

7. What and who is Camden Partners Holdings?

Camden Partners was founded in 1995 as a diversified investment firm focused on value-added alternative investments. Camden has two product areas: Private Equity and Fund of Funds.

8. Are your investments solely in the United States?

Most of our portfolio companies are headquartered in the U.S., but we have made successful opportunistic investments in Europe and have invested in companies that operate overseas.
